Terms and Conditions

These Terms and Conditions (“Terms”) govern your purchase of goods and/or services (“Products”) from Magnaloy Coupling Company (referred to as “Magnaloy,” “we,” “us,” or “our”), located at 170 N. Industrial Hwy, Alpena, MI 49707. By placing an order with us—whether online, by phone, or through any other means—you (“Customer” or “you”) agree to be bound by these Terms. If you do not agree, please do not purchase from us.

  1. Acceptance of Terms

Placing an order, making a payment, or accepting delivery of any Products constitutes your acceptance of these Terms. These Terms apply to all purchases and form the entire agreement between you and Magnaloy regarding your purchases, unless otherwise agreed in writing.

  1. Communications

Party consents to receiving marketing, promotional, and informational communications from us via email. These communications may include product updates, special offers, newsletters, company announcements, and other marketing content.

You may opt out of marketing emails at any time by clicking the unsubscribed link included in our emails or by contacting us directly. Your decision to opt out of marketing communications will not affect transactional or service-related communications necessary to fulfill orders, provide customer support, or administer your account.

  1. Orders and Order Acceptance

All orders are subject to product availability and our acceptance. We reserve the right to refuse, modify, or cancel any order at our sole discretion, including due to pricing errors, product information inaccuracies, suspected fraud, or unavailability of stock. If we cancel an order after receiving payment, we will issue a full refund.

  1. Pricing and Payment
  • All prices are quoted in U.S. Dollars and do not include applicable sales tax, shipping, handling, duties, or other fees unless expressly stated otherwise.
  • We reserve the right to adjust prices at any time without prior notice. Price changes will not apply to orders that we have already accepted.
  • Online orders: Full payment is due at the time of purchase. We accept Visa and Mastercard.
  • Distributor/account orders: Payment terms are as established in your account agreement at the time of account creation. Failure to comply with agreed payment terms may result in suspension or termination of your account.
  • You are responsible for all charges associated with your order, including any fees imposed by your bank or credit card issuer.
  1. Taxes

You are responsible for all applicable sales, use, excise, value-added, or other taxes related to your purchase. We collect and remit sales tax only where legally required.

  1. Shipping and Delivery
  • We ship online and mail orders to addresses within the continental United States and Canada. Estimated shipping times are provided for convenience only and are not guaranteed.
  • For international orders outside the U.S. and Canada, we can refer you to independent distributors who operate separately from Magnaloy.
  • Risk of loss:
    • For truckload, less-than-truckload (LTL), and FedEx shipments (customer-arranged or customer-driven routing): Risk of loss passes to you upon our delivery of the Products to the carrier. All claims for loss or damage must be filed directly by you with the carrier.
    • For UPS parcel shipments arranged by us: We retain risk of loss until you (or your designated recipient) receive the shipment.
  • We are not liable for any delays, loss, or damage caused by carriers, customs authorities, weather, strikes, or other events beyond our reasonable control.
  1. Stock Returns (Non-Quality Issues)

We offer a 1-year return policy on unused and unopened stock items in their original packaging, accompanied by proof of purchase. The following items are excluded:

  • Special-order or non-stock items.
  • Items with a defined shelf life that could reasonably affect their returnability.

All returns are subject to inspection upon receipt and a minimum 25% restocking fee. For detailed procedures, please refer to our Stock Return and Quality RMA procedures (available upon request or on our website).

  1. Quality RMAs (Defective or Non-Conforming Products)

If a quality issue arises that is directly attributable to Magnaloy’ s manufacturing or handling:

  • You must inspect all Products immediately upon receipt.
  • Any claim for defective, damaged, or incorrect items must be reported to us in writing within 30 days of delivery. Failure to provide timely notice constitutes unqualified acceptance of the Products and a waiver of all related claims.

  1. Warranties and Disclaimers

We sell Products “AS IS” except for any applicable manufacturer’s warranties that we may pass through to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Products are sold “WITH ALL FAULTS” unless otherwise expressly stated in writing.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Magnaloy shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your purchase or use of the Products, even if advised of the possibility of such damages.

Our total liability for any claim shall not exceed the amount actually paid by you for the specific Product, giving rise to the claim.

  1. Intellectual Property

All trademarks, logos, product designs, images, website content, and other intellectual property are owned by or licensed to Magnaloy. You may not reproduce, distribute, modify, or use any of these materials without our prior written permission.

  1. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Any disputes arising from or related to these Terms or your purchases shall be resolved exclusively in the state or federal courts located in Alpena County, Michigan. You irrevocably consent to the personal jurisdiction of such courts and waive any objection based on venue or forum non conveniens.

  1. Changes to Terms

We may update these Terms at any time. The revised version will be posted with a new “Last Updated” date. Your continued purchases after the effective date of any changes constitute your acceptance of the updated Terms.

  1. Miscellaneous
  • If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Our failure to enforce any right or provision does not constitute a waiver of that right or provision, nor of any subsequent breach.
  • These Terms constitute the entire agreement between you and Magnaloy concerning your purchases and supersede any prior understandings or agreements.
